Terms of Service

This is a template terms of service. It should be reviewed by a qualified solicitor before being relied upon. Ant vs Bear Ltd accepts no liability for its use without professional legal review.

1. About These Terms

These terms govern your use of the Tick service ("Service"), including the website at trytick.ai and the application at app.trytick.ai, operated by Ant vs Bear Ltd ("we", "us", "our"), a company registered in England and Wales.

By creating an account or using the Service, you agree to these terms. If you do not agree, do not use the Service.

2. The Service

Tick is an AI-powered tool that extracts data from supplier invoices and creates draft bills in Xero. The Service:

  • Accepts invoice documents forwarded by email (PDF, scans, photos).
  • Uses AI to extract supplier details, line items, VAT, and totals.
  • Presents extracted data for your review and approval.
  • Creates draft bills in your connected Xero account upon approval.

3. AI Accuracy & Your Responsibility

Tick uses artificial intelligence to extract invoice data. While we target 95%+ accuracy, AI extraction is not guaranteed to be error-free. You are responsible for:

  • Reviewing all extracted data before approving it to Xero.
  • Correcting any errors in extracted fields before approval.
  • Ensuring that approved bills are accurate for your accounting records.

Tick is a data entry tool, not an accounting or tax advisory service. We do not provide financial, tax, or legal advice. You remain responsible for the accuracy of your Xero records.

4. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You must be at least 18 years old and have the authority to bind the business entity you represent when using the Service.

5. Pricing & Billing

The Service offers a free tier and paid subscription plans. Current pricing is displayed on our pricing page.

  • Free tier: Up to 20 invoices per month at no cost. No credit card required. No expiry.
  • Paid plans: Billed monthly via Stripe. Prices are in GBP and exclusive of VAT where applicable.
  • Changes: You may upgrade, downgrade, or cancel at any time from your account settings.
  • Refunds: We do not offer refunds for partial billing periods. Downgrades take effect at the end of the current billing period.

We may change our pricing with 30 days' notice. Price changes do not affect the current billing period.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose.
  • Upload content that infringes third-party intellectual property rights.
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service.
  • Use automated tools to scrape, crawl, or overload the Service.
  • Share your account credentials with third parties.
  • Resell or redistribute the Service without our written consent.

7. Data & Privacy

Our handling of your data is governed by our Privacy Policy. By using the Service, you acknowledge that invoice data will be processed by AI providers (currently Anthropic) for the purpose of data extraction.

You retain ownership of all invoice data you upload to the Service. We do not claim ownership of your content.

8. Xero Integration

The Service integrates with Xero via the official Xero API. You authorise this connection during setup. You may revoke access at any time through your Xero settings. We are not affiliated with, endorsed by, or partnered with Xero Limited.

9. Service Availability

We aim to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance with reasonable notice. We are not liable for downtime caused by third-party services (Xero, AI providers, hosting infrastructure).

10. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" without warranties of any kind.
  • We are not liable for any indirect, incidental, or consequential damages arising from your use of the Service.
  • Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the claim.
  • We are not liable for errors in AI-extracted data that you approved to Xero.

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

11. Termination

You may close your account at any time. We may suspend or terminate your account if you breach these terms, with notice where reasonably practicable. Upon termination, your right to use the Service ends. We will retain your data in accordance with our Privacy Policy.

12. Changes to These Terms

We may update these terms from time to time. We will notify you of material changes via email or through the application. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.

13. Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
